Terms of Service

By instructing Onliware to undertake software development work, you agree to these terms. A specific contract outlining the Scope of Work (SOW) will be provided for signed approval before any development commences.

Unless explicitly stated otherwise in a specific agreement or the "Licence Only" option is selected during the quoting process: • Upon full payment of all fees, Onliware assigns to the Client all right, title, and interest in the custom code developed for the project. • If a monthly payment plan is chosen, IP rights remain with Onliware until the final payment of the agreed term is made or an early buyout fee is settled. • Onliware retains the right to reuse generic code snippets, libraries, and tools that do not contain the Client’s confidential business logic.

We offer two primary billing structures: • Fixed Price: 50% deposit required to commence work, with the remaining balance due upon completion/delivery. • Monthly Financing: A recurring monthly fee over a fixed term (6, 12, or 24 months). Please note this option includes a credit fee (10% to 30% depending on term length) to cover administrative overhead and risk. Failure to maintain payments may result in service suspension.

While we strive for perfection, software is inherently complex. Onliware shall not be liable for any indirect, special, or consequential damages, including loss of data or loss of profits, arising out of the use or inability to use the software provided.

These terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes relating to these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
